Terms of Service
These Terms of Service (the “Terms”) govern your use of the website and the technology services provided by Handshake Innovation LLC (“Handshake,” “we,” “us,” or “our”). By using our website or services, you agree to these Terms.
1. Who we are
Handshake Innovation LLC is a technology company and managed service provider (MSP). We provide IT services and support, business process automation, software and web application development, and related technology consulting.
2. Use of our website
You may use our website for lawful purposes and in accordance with these Terms. You agree not to misuse the site, interfere with its operation or security, attempt to gain unauthorized access to it, or use it to violate any applicable law or the rights of others.
3. Our services
Our professional services — including IT support, automation, development, and consulting — are provided to clients under separate agreements, proposals, or statements of work. Where those agreements conflict with these Terms, the signed agreement for that engagement controls. These Terms supplement, and do not replace, any such agreement.
4. Acceptable use
When using our website or services, you agree not to:
- Use them for any unlawful, fraudulent, or harmful purpose
- Attempt to access systems, accounts, or data you are not authorized to access
- Disrupt, overload, or interfere with the security or integrity of our systems
- Reverse engineer, copy, or misappropriate our software or materials except as permitted by law or an applicable agreement
5. Intellectual property
The Handshake website and its content — including text, design, logos, and software we own — are the property of Handshake Innovation LLC or its licensors and are protected by applicable law. Ownership of work product created for clients is governed by the agreement for that engagement.
6. Third-party software and internal integrations
We use third-party software and operate internal integrations to run our business. This includes a private, internal-only integration with Intuit's QuickBooks Online API used solely for our own bookkeeping and reporting.
Any use of QuickBooks / Intuit data through that integration complies with Intuit's applicable terms, developer requirements, and policies. Intuit is not a party to these Terms, makes no representations or warranties regarding our software or services, and has no responsibility or liability for them. For details on how we handle that data, see our Privacy Policy.
7. Disclaimer of warranties
OUR WEBSITE AND, EXCEPT AS EXPRESSLY STATED IN A SIGNED AGREEMENT, OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, HANDSHAKE INNOVATION LLC DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HANDSHAKE INNOVATION LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LIABILITY ARISING FROM A PAID SERVICES ENGAGEMENT IS GOVERNED BY THE AGREEMENT FOR THAT ENGAGEMENT.
9. Termination
We may suspend or discontinue all or part of the website, and may restrict access to it, at any time. We may also terminate or suspend access for conduct that violates these Terms or applicable law. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and governing law — will survive.
10. Governing law
These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Georgia.
11. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Effective date” at the top of this page and post the updated version here at this URL. Continued use of the website after changes are posted constitutes acceptance of the updated Terms.
